Terms of Services

By purchasing, booking, or using any service from Studio23Labs (“we”, “us”, “our”), you (“Client”) agree to be bound by these Terms of Services. If you do not agree, do not use our services. These terms form a legally binding agreement between you and Studio23Labs.

Studio23Labs provides software consulting services including but not limited to:

• Basic Audit — a focused security and code review session with a written report.
• 360° Audit — a comprehensive technical audit covering security, scalability, architecture, and market valuation.
• Custom Development — bespoke backend engineering and software development projects scoped individually.
• AI Transformation / Analytics — advisory and implementation services for AI and data workflows.

The exact deliverables for each service are as described at the time of purchase on our website. We reserve the right to modify service offerings at any time with reasonable notice.

• All audit prices are one-time payments, not subscriptions.
• Payment is required in full at the time of booking to confirm your audit slot.
• Prices are displayed in USD. You are responsible for any currency conversion fees charged by your bank.
• Coupon codes are subject to the discount and expiry stated at the time of use. Codes cannot be applied retroactively.
• The 360° Audit fee is 100% credited toward a subsequent Custom Development project, at Studio23Labs' discretion.

• Cancellations made 48+ hours before your scheduled session: eligible for a full refund or reschedule.
• Cancellations made less than 48 hours before your session: no refund, but we will offer one complimentary reschedule.
• No-shows: forfeit the session fee. No refund or reschedule will be issued.
• After the session has been delivered: no refunds will be issued. Our audit reports represent professional opinions based on the information available at the time.

All audit findings, reports, and recommendations are provided in good faith as professional opinions based on the information and code made available to us at the time of the audit. Our reports are advisory in nature and do not constitute a guarantee, warranty, or certification of security, compliance, or fitness for any particular purpose. Studio23Labs is not liable for any issues that were not discoverable within the agreed scope, or that arise after the audit session.

You agree to:

• Provide accurate information about your codebase and business context
• Grant us the access necessary to perform the agreed service (e.g., read-only repo access)
• Not use our services for any unlawful purpose
• Ensure you have the right to share any code or data provided to us
• Attend your booked session on time

All audit reports, written deliverables, and materials produced by Studio23 Labs are our intellectual property until payment is received in full, at which point they become the property of the Client. Code developed under a Custom Development engagement transfers ownership to the Client upon final payment, unless otherwise agreed in a separate contract. We retain the right to use anonymised, non-identifying project data for internal improvement and marketing purposes.

We treat all client code, business information, and project details as confidential. We will not share, publish, or disclose your information to third parties except as required by law or as necessary to deliver the service (e.g., with a subcontractor under an equivalent confidentiality obligation). We may mention that you are a client in our portfolio or case studies only with your explicit written consent.

To the maximum extent permitted by law, Studio23Labs' total liability to you for any claim arising from these terms or our services shall not exceed the amount you paid us for the relevant service. We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of revenue, data, or business opportunity, even if we have been advised of the possibility of such damages.

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We may update these Terms at any time. The “last updated” date will reflect the most recent revision. Continued use of our services after changes are posted constitutes your acceptance of the updated terms.
